幾年前筆者曾分享了雅高集團與洲際集團合併的流言，近期(今年5月)則是溫德姆酒店集團被精品國際酒店集團(Choice Hotels & Resorts)收購的謠言在美國傳開。實際上，國際旅館業的收購或併購案常見，策略結盟亦是，只是筆者沒特別挑出來講或分享，這同時也是「弱肉強食的商業市場」之印證。無怪乎，國外旅館業專業媒體Hotels Magazine曾在2021年全球百大酒店集團排名的專題報導「HOTELS 225」結語(第74頁)提到：「…在HOTELS年度排行榜中，有許多故事隱藏在其中待各位發覺。在接續的幾頁中，試著找出不斷在成長的酒店集團，同時也看看自己能否分辨得出可能會成為收購目標之陷入生存危機的業者。」。

台灣旅館市場歷經大疫三年後的實質洗牌，已經有一定程度的汰舊換新，然而，若要更進一步重整市場(或清理戰場)，由國外或國內業者併購或收購既存業者是必要的，全面或深度摧毀後的重建再造似乎才能見到真的新秩序。至於被併購者(acquiree)的產品是否仍會存續則視併購者(acquirer)的策略而定，可能不復存在，也可能重新打造(但這對於國內業者屬高難度，因為他們往往連自己原有的產品都不太能搞定，只剩「服務好」可以拿出來講)，至於再轉賣(不論是整體或以子公司形式分拆賣)賺價差，亦是種常見的處置方式。

A recent report in the Wall Street Journal said Choice Hotels International is considering buying Wyndham Hotels & Resorts. However, hotel industry analysts are skeptical, reports Senior Hospitality Editor Sean O’Neill.

O’Neill writes a Choice Hotels-Wyndham merger could create the largest hotel franchisor in the U.S. But he cites two analysts who explained why it’s unlikely to happen in a Truist Securities research report. Choice Hotels would have to add more budget properties to its portfolio, which might undermine its strategy of boosting its collection of high-end properties. In addition, a merger might face pushback from antitrust authorities. The two companies combined already have a more than 50 percent share of the U.S. economy hotel market.

Still, O’Neill adds that a merger might make sense in some ways. He notes that bigger is better is a general rule in hotel marketing, franchising and management.

At least that is the rumour that has been swelling in recent days across the Atlantic. Indeed, Choice Hotels International would like to buy Wyndham Hotels & Resorts as part of an operation that would create an American budget hotel giant.

While discussions between the two hotel groups are at an early stage, it is not clear that Wyndham is interested in a tie-up with Choice. However, it is possible that Choice could make an offer directly to Wyndham’s shareholders if the group refuses to consider a deal.

After expanding its presence in the high-end segment by acquiring Radisson Hotel Group Americas last summer, Choice is now looking to expand its economy and mid-range portfolio through the potential acquisition of Wyndham.

精選國際集團在去年夏天收購了美洲區麗笙酒店集團以擴大自身在高端酒店區塊的版圖後，現正尋求藉由潛在收購溫德姆集團來擴大其經濟型和中端酒店品牌。

Like Choice, Wyndham is also expanding its upscale offerings. In 2021, Wyndham launched a luxury brand, Registry Collection Hotels, and late last year the company acquired Vienna House, doubling its upscale presence in Europe, the Middle East, Asia and Africa.

A future acquisition would also allow Choice to gain a foothold in the all-inclusive market as Wyndham last year launched its Wyndham Alltra brand in partnership with Playa Hotels & Resorts but has also entered into a partnership with Spanish group Palladium, which operates a number of all-inclusive resorts.

However, nothing has been confirmed yet, so it remains to be seen whether the next few weeks will confirm this rumour, which has been gaining momentum in the sector lately.
